Agreement Overview These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client", "you") and TACMinds (Technology And Creative Minds, "we", "us", "our") governing your use of our website tacminds.com and all services we provide — including technology training, cloud consulting, cybersecurity services and FinOps consulting. By accessing our website, booking a course, or engaging our services, you confirm that you have read, understood and agree to these Terms.

If you are agreeing to these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, in which case "you" refers to that entity.

If you do not agree to these Terms, please do not use our website or services.

Section 01

🏢 Our Services

TACMinds provides the following categories of services:

  • Technology Training — Microsoft (Azure, M365, Security), Cyber Security, FinOps, AWS, GRC, Network and AI training programmes — delivered online, on-site or in hybrid format
  • Cloud & Azure Professional Services — cloud architecture, migration, IAM/PAM implementation, DevOps, Azure management and security hardening
  • Cybersecurity Solutions — Zero Trust design, SOC/SIEM implementation, Defender for Endpoint, vulnerability assessment and incident response
  • FinOps & Cloud Cost Optimisation — cloud cost visibility, optimisation strategy, FinOps maturity enablement and multi-cloud governance
  • AI & Microsoft Copilot Services — Copilot deployment, Azure OpenAI implementation and AI automation
  • Personal Brand & AI Training — LinkedIn strategy, AI-powered content creation and personal brand development for technology professionals

Services are described on our website and confirmed in writing via booking confirmation, proposal or Statement of Work (SOW) at the time of engagement.

Section 02

🎓 Training & Courses

2.1 Course Delivery

  • All training courses are delivered as described in the course description at the time of booking
  • Courses are delivered by Hasit Mankad (MCT) or other qualified TACMinds instructors
  • Course formats include: live online (Zoom/Teams), on-site at client premises, or hybrid. Format is confirmed at time of booking
  • Course materials (slides, lab guides, reference documents) are provided for the participant's personal professional use only

2.2 Rescheduling

  • Course schedules are subject to change. We will provide a minimum of 48 hours notice of any rescheduling required by TACMinds
  • In the event TACMinds reschedules a course, clients will be offered a full refund or free transfer to the next available date

2.3 Lab Environments

  • Where lab environments (Azure sandbox, virtual machines) are provided, access is for the duration of the training session only, unless explicitly stated otherwise in the course description
  • Lab environments are managed by TACMinds or Microsoft Learn. We are not liable for downtime or interruptions caused by third-party platforms

2.4 Certification & Exam Vouchers

  • Where exam vouchers are included in a course package, they must be used within 90 days of course completion unless otherwise stated
  • Exam vouchers are provided by Microsoft or other certification bodies and are subject to their individual terms and conditions
  • TACMinds does not guarantee exam pass rates. We maintain a 94%+ first-attempt pass rate across our programmes, but individual results depend on individual preparation and effort
  • Exam fees are non-refundable once a voucher has been redeemed or an exam has been attempted

2.5 Recording Policy

  • Live sessions may be recorded by TACMinds for quality assurance and participant access purposes
  • Participants may not record sessions without prior written consent from TACMinds
  • Recorded sessions, where provided, are for the purchasing participant's personal use only and may not be shared or redistributed

Minimum Enrolment Some scheduled public courses require a minimum number of participants to proceed. If the minimum is not reached, TACMinds reserves the right to reschedule or cancel the course, with full refund offered to enrolled participants.
Section 03

🔧 Consulting & Professional Services

3.1 Project Agreements

Consulting and professional services engagements are governed by a specific Statement of Work (SOW) or project proposal agreed in writing between TACMinds and the client. These Terms apply in addition to any specific SOW terms. In case of conflict, the SOW terms prevail.

3.2 Scope of Work

  • Work is delivered according to the scope defined in the SOW. Any work outside the defined scope is subject to a separate change request and additional fees
  • TACMinds will notify the client in writing of any scope changes before proceeding

3.3 Client Responsibilities

  • The client must provide timely access to systems, environments, personnel and information reasonably required for service delivery
  • The client is responsible for maintaining appropriate backups before any changes are implemented
  • Delays caused by the client's failure to provide required access or information may affect project timelines and are not TACMinds' liability

3.4 Subcontracting

TACMinds does not subcontract work to third parties without prior written client consent. All consulting work is delivered directly by TACMinds-certified professionals.

Section 04

💳 Payment Terms

4.1 Pricing

  • Prices are displayed in USD unless otherwise stated. We also accept payment in AED for UAE clients
  • All prices are exclusive of applicable VAT, GST or other taxes, which will be added where required by law
  • Currency conversion fees are borne by the client

4.2 Accepted Payment Methods

  • Credit/Debit Card — processed securely via Stripe (Visa, Mastercard, Amex)
  • Bank Transfer (TT) — for corporate clients with agreed invoice arrangements. Bank details provided on invoice
  • Online Payment Link — Zoho Checkout secure payment links

4.3 Payment Due Dates

  • Individual training bookings — payment due at time of booking to confirm enrolment
  • Corporate training — 50% deposit on booking, balance due 5 business days before course commencement, unless otherwise agreed
  • Consulting projects — payment schedule defined in the SOW (typically: 50% upfront, 50% on completion or monthly milestones)
  • Invoice clients — payment due within 14 days of invoice date unless otherwise agreed

Late Payment Overdue invoices are subject to a late payment fee of 2% per month on the outstanding balance. TACMinds reserves the right to suspend service delivery until overdue amounts are settled.
Section 05

↩️ Cancellation & Refund Policy

5.1 Training Course Cancellations

5.2 Consulting Project Cancellations

  • Consulting project cancellations are subject to the terms specified in the project SOW
  • Where no specific cancellation terms are defined in the SOW: work completed to date is billable and non-refundable; work not yet commenced will be refunded in full
  • Cancellation of an ongoing retainer requires 30 days written notice

5.3 Refund Processing

  • Approved refunds are processed within 10 business days to the original payment method
  • Bank transfer refunds may take an additional 2–5 business days depending on your bank
  • To request a cancellation or refund, email [email protected] with your booking reference
Participant Substitution You may transfer your booking to a colleague at no charge with at least 48 hours notice before the course. Please notify us in advance with the replacement participant's name and contact details.
Section 06

©️ Intellectual Property

6.1 TACMinds Materials

All training materials, slides, lab guides, courseware, templates, methodologies, frameworks and other content created by TACMinds are the intellectual property of TACMinds or its licensors (including Microsoft Corporation for Microsoft Official Curriculum).

  • You may use materials provided for your personal professional development only
  • You may not reproduce, distribute, sell, publish, sublicense or commercially exploit any TACMinds materials without prior written permission
  • You may not use TACMinds materials to deliver training to others without explicit written authorisation

6.2 Client Materials

All materials, data, systems and intellectual property provided by the client remain the property of the client. TACMinds does not claim any ownership over client materials accessed during service delivery.

6.3 Deliverables from Consulting Engagements

Unless otherwise agreed in the SOW, deliverables created specifically for a client engagement (such as architecture documents, implementation guides, runbooks) become the client's property upon full payment. TACMinds retains the right to use generic methodologies, templates and know-how developed during the engagement.

6.4 Website Content

All content on tacminds.com — including text, graphics, logos, icons, images, and software — is the property of TACMinds and is protected by applicable copyright and intellectual property laws. Unauthorised use is prohibited.

Section 07

🔒 Confidentiality

Both parties acknowledge that in the course of engagement, confidential information may be shared. "Confidential Information" means any information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information.

  • TACMinds obligations — We treat all client information, project details, system configurations, business data and company information as strictly confidential. We do not disclose client details to any third party without written consent, except as required by law
  • Client obligations — You agree to keep TACMinds' proprietary methodologies, pricing and unpublished materials confidential
  • Duration — Confidentiality obligations survive termination of the engagement for a period of 3 years
  • Exceptions — Information is not confidential if it is publicly known, independently developed, or required to be disclosed by law or court order

NDA Available For enterprise consulting engagements where enhanced confidentiality protection is required, TACMinds is happy to sign a mutual Non-Disclosure Agreement (NDA) before any sensitive information is shared.
Section 08

🚫 Acceptable Use

By using our website and services, you agree not to:

  • Use our services for any unlawful purpose or in violation of any applicable laws
  • Share your course access credentials with others not enrolled in the course
  • Attempt to reverse-engineer, copy or redistribute TACMinds course materials
  • Disrupt, interfere with or damage our website, systems or services
  • Use our website to transmit malware, spam or harmful content
  • Misrepresent your identity or affiliation when engaging with TACMinds
  • Use training knowledge acquired through TACMinds courses for malicious, illegal or unethical purposes

TACMinds reserves the right to immediately terminate access to services without refund if these acceptable use requirements are violated.

⚖️ Warranties & Disclaimers

9.1 TACMinds Warranties

TACMinds warrants that:

  • Services will be delivered by qualified professionals with the skills and certifications described
  • Training content is accurate and reflects current industry practices at the time of delivery
  • We will comply with applicable laws in delivering our services

9.2 Disclaimers

  • Exam outcomes — While we maintain high pass rates, TACMinds cannot guarantee that any individual will pass a certification exam. Exam success depends on individual effort, preparation and the exam vendor's assessment criteria
  • Technology platforms — Microsoft Azure, AWS and other third-party platforms change frequently. TACMinds cannot guarantee that specific platform features, interfaces or services shown in training will remain identical after delivery
  • Website availability — Our website is provided "as is". We do not guarantee uninterrupted or error-free availability
  • Third-party services — TACMinds is not responsible for the availability, accuracy or performance of third-party tools and platforms (Zoho, Microsoft, Stripe, etc.) referenced in our services
Section 10

🛡️ Limitation of Liability

To the maximum extent permitted by applicable law:

  • TACMinds shall not be liable for any indirect, incidental, special, consequential or punitive damages arising from your use of our services, including but not limited to loss of data, loss of profits, loss of business opportunity or reputational damage
  • TACMinds' total aggregate liability to you for any claims arising from or related to our services shall not exceed the total fees paid by you for the specific service giving rise to the claim in the 3 months preceding the claim
  • These limitations apply regardless of the form of action (contract, tort, negligence or otherwise) and even if TACMinds has been advised of the possibility of such damages

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential damages. In such jurisdictions, our liability is limited to the fullest extent permitted by applicable law.
Section 11

🏛️ Governing Law & Dispute Resolution

11.1 Governing Law

These Terms and any disputes arising from them are governed exclusively by the laws of the United Arab Emirates and, where applicable, the laws of the Emirate of Dubai.

11.2 Jurisdiction

Any dispute, controversy or claim arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE, unless otherwise required by the applicable law of your jurisdiction.

11.3 Dispute Resolution Process

Before initiating any legal proceedings, both parties agree to attempt resolution through the following process:

  • Step 1: Written notification of the dispute to the other party (email to [email protected])
  • Step 2: Good-faith negotiation for 30 days from the date of notification
  • Step 3: If unresolved, either party may pursue formal legal remedies
Section 12

🔄 Changes to These Terms

TACMinds reserves the right to update or modify these Terms at any time. When we make material changes, we will:

  • Update the "Last updated" date at the top of this page
  • Notify active clients by email for significant changes that affect existing engagements
  • Where required, obtain fresh consent before applying new terms to existing engagements

Your continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you should stop using our services.
